This clearance enables a major internal restructuring that separates hotel operations from asset ownership, positioning Fleur for significant expansion and a future stock market listing. Transaction Mechanics and Investment Flow

Coastal Cedar Investments BV, fully owned by Warburg Pincus, will buy the stake from APG Strategic Real Estate Pool NV. The INR 960 crore infusion arrives in tranches, bolstering Fleur's capital for growth. Regulators reviewed the deal under thresholds designed to maintain market competition, finding no anti-competitive concerns.

Restructuring Reshapes Lemon Tree Group

The approval covers amalgamations and demergers across subsidiaries. Carnation Hotels and Hamstede Living merge into Lemon Tree Hotels, while Oriole Dr Fresh, Sukhsagar Complexes, Manakin Resorts, and Canary Hotels consolidate into Fleur Hotels via share issuances. Fleur's portfolio swells from 3,993 keys in 24 hotels to 5,813 keys across 41 properties, enhancing its ownership focus.

Strategic Separation Drives Long-Term Value

Lemon Tree Hotels emerges as an asset-light manager and brand operator, unburdened by property holdings. Fleur Hotels concentrates on development and scaling assets, with promoters including Ila Dubey, Lillette Dubey, Spank Management Services Pvt Ltd, and Sparrow Buildwell Pvt Ltd retaining influence. Patanjali Govind Keswani, founder, assumes Executive Chairman at Fleur before shifting to non-executive duties at Lemon Tree.
